Our founder and CEO, Michael Rance, has been immersed in the food industry since 1986 — beginning his career as a core member of the team that built and operated Unicorn Village Market, the #1 natural foods market in the United States. That landmark company was ultimately acquired by Whole Foods Market, cementing its place in American food retail history. That formative experience — sourcing, quality, scale, and the discipline of running a best-in-class food operation — is the foundation everything at Defiant Trading is built on.

We source, negotiate, and execute large-volume transactions in ICUMSA-45 refined sugar, frozen poultry, rice, edible oils, wheat, soybeans, corn, and seafood — delivering verified, contract-protected supply chains to importers, distributors, and government buyers worldwide.

Every Defiant Trading transaction follows a structured, document-driven process designed to protect both buyer and seller from inquiry to final delivery.

Inquiry & LOI
Buyer submits a Letter of Intent (LOI) or Request for Quote. We confirm product availability, pricing, and delivery terms.

CIS / KYC
A Client Information Sheet (CIS) and full Know Your Customer (KYC) package is required from every buyer before any contract or offer is issued — no exceptions.

FCO Issued
We issue a Full Corporate Offer (FCO) with all pricing, Incoterms, inspection clauses, and payment instrument requirements.

SPA Executed
A Sales & Purchase Agreement (SPA) is drafted, reviewed, and executed by both parties via DocuSign or wet signature.

Banking & Payment
Payment instruments are established — SBLC MT760, LC MT700, or MT103 wire transfer — through confirmed banking channels.

Shipment & Delivery
Cargo is loaded, inspected by SGS or Intertek, and shipped. Full shipping documents are released to buyer upon payment confirmation.

Standby Letter of Credit via SWIFT MT760. Primary instrument for large-volume long-term contracts.

LC MT700

Irrevocable Documentary Letter of Credit. Standard for CIF shipment-based contract settlements.

MT103 Wire Transfer

SWIFT bank-to-bank wire transfer. Used for advance payments, deposits, and spot transaction settlements.

SGS / Intertek Inspection

All cargo is subject to independent third-party quality and weight inspection prior to bill of lading issuance.

ICUMSA-45 Sugar Purchase Procedure

Standard operating procedure for all refined sugar transactions — covering buyer qualification, FCO acceptance, SPA execution, and shipment release.

  • Buyer issues signed LOI with company registration
  • Defiant Trading issues FCO within 2 business days
  • Buyer returns signed FCO with banking coordinates
  • SPA drafted and executed by both parties
  • Buyer issues SBLC MT760 or LC MT700 within agreed window
  • SGS pre-shipment inspection arranged at origin port
  • Bill of lading and shipping documents released on payment

Frozen Protein Purchase Procedure

Procedure for frozen poultry and seafood transactions — including cold chain compliance, container logistics, and Halal certification requirements.

  • Buyer provides product specification sheet and target price
  • Defiant Trading sources from certified exporters
  • Proforma Invoice issued with full product breakdown
  • SPA executed with inspection and cold chain clauses
  • Container loading under buyer or Defiant agent supervision
  • Halal certification, health certificates, and COO provided
  • Full shipping document package released on payment confirmation

Grains & Edible Oil Procedure

Procedure for bulk grain (rice, wheat) and edible oil transactions — including vessel nomination, port logistics, and inspection at load port.

  • Buyer submits target destination port and vessel preference
  • FCO issued with Incoterms, quantity, and moisture specs
  • SPA executed with fumigation and phytosanitary clauses
  • Payment instrument established prior to vessel nomination
  • Load port inspection by SGS covering weight and quality
  • B/L, COO, phyto certificate, and COA released post-inspection

New Counterparty Onboarding

All new buyers and sellers must complete our counterparty qualification process before any contract is executed or financial instruments are exchanged.

  • Company registration documents and proof of address
  • Bank comfort letter or financial reference
  • Principal/director identification (passport copy)
  • Mandate or authorization letter for representative agents
  • Completed Defiant Trading Client Information Sheet
