About Us

Built for Global Trade.
Operated with Integrity.

Defiant Trading — the trade name of Fresh N Wild Seafood LLC — is a Boca Raton–headquartered global food commodity trading company operating at the intersection of agricultural production and international commerce. Founded in 2012, our roots in the food industry run far deeper.

Our founder and CEO, Michael Rance, has been immersed in the food industry since 1986 — beginning his career as a core member of the team that built and operated Unicorn Village Market, the #1 natural foods market in the United States. That landmark company was ultimately acquired by Whole Foods Market, cementing its place in American food retail history. That formative experience — sourcing, quality, scale, and the discipline of running a best-in-class food operation — is the foundation everything at Defiant Trading is built on.

We source, negotiate, and execute large-volume transactions in ICUMSA-45 refined sugar, frozen poultry, rice, edible oils, wheat, soybeans, corn, and seafood — delivering verified, contract-protected supply chains to importers, distributors, and government buyers worldwide.

Every transaction at Defiant Trading is built on documented procedures, internationally recognized payment instruments, and independent third-party inspection — ensuring both buyers and sellers operate from a position of confirmed trust.

Due Diligence

Every counterparty and supplier is vetted before any contract is executed or funds are committed.

Contract Integrity

Our trade documents are drafted to protect all parties with clear, enforceable terms and no material ambiguity.

Transparency

We communicate trade status, logistics, and documentation progress openly with all active counterparties.

Global Reach

Operational relationships across four continents allow us to source and deliver at competitive volume pricing.

How We Trade

Our Trade Process

Every Defiant Trading transaction follows a structured, document-driven process designed to protect both buyer and seller from inquiry to final delivery. Verification is bank-to-bank, at every stage — non-negotiable.

Verification Is Bank-to-Bank. Full Stop.

  • Proof of Funds (POF) is confirmed officer-to-officer between the buyer's bank and Citibank N.A. — by SWIFT message or direct bank-to-bank verification call, supported only by the principal/director's passport and company registration documents.
  • Proof of Product (POP) is confirmed bank-to-bank through the same channel, and only after POF is verified.
  • No allocation letter — refinery, supplier, or otherwise — is ever released directly to the buyer or customer, under any circumstance. Allocation is confirmed bank-to-bank only. This is non-negotiable.
  • No offer, pricing detail, or contract draft is issued before bank-to-bank POF verification is complete.
  • Every instrument (SBLC MT760, LC MT700, MT103) must originate from or be confirmed by a Top-50 prime world bank.

Third-Party Proof of Funds — Never Accepted

Defiant Trading does not accept, rely upon, or act on any Proof of Funds that has not been verified directly, bank-to-bank, through Citibank N.A. The following are never accepted as POF, regardless of how they are packaged or who presents them:

  • Letters, certificates, or "verification reports" issued by a broker, mandate, consultant, or any non-bank third party.
  • Screenshots, PDFs, or photographs of account balances or statements, however official they appear.
  • Notarized or attorney-certified funds letters in place of direct bank confirmation.
  • Any instrument or letter tied to fund "blocking," "leasing," or SBLC "monetization" arrangements.

The only accepted method: the buyer's bank contacts Citibank N.A. directly, officer-to-officer, to confirm POF or a Ready, Willing and Able (RWA) letter. There is no override or exception, regardless of buyer size, urgency, or broker assurance.

01
Inquiry & LOI
Buyer submits a signed Letter of Intent (LOI) on company letterhead with corporate registration attached. Acknowledged within 1 business day.
02
CIS / KYC / NCNDA
Complete CIS, full KYC package, and signed NCNDA submitted within 5 business days of LOI acknowledgment — no exceptions.
03
FCO Issued
Full Corporate Offer issued within 2 business days of complete KYC/NCNDA. Buyer returns signed ICPO within 5 business days, or the FCO lapses.
04
Proof of Funds — Bank-to-Bank
Buyer's bank completes bank-to-bank POF verification with Citibank N.A. within 5 business days of ICPO. No product detail is released before this step is complete.
05
Proof of Product — Bank-to-Bank
POP confirmed bank-to-bank within 3 business days of POF. No allocation letter is released to the buyer under any circumstance — non-negotiable.
06
SPA Executed
SPA drafted within 3 business days of POP confirmation; executed by both parties within 5 business days of the draft.
07
Instrument Issued & Confirmed
SBLC (MT760), LC (MT700), or MT103 issued within 7 business days of SPA execution and confirmed operative within 3 business days, before vessel/container nomination.
08
Independent Inspection
SGS, Intertek, Cotecna, or Bureau Veritas inspection at load port. Findings issued within 2 business days and are final and binding.
09
Shipment & Document Release
Where MT103 is the settlement instrument, payment is due within 24/72 hours of loading completion. Full shipping documents released within 3 business days of confirmed payment — never in advance, never to a third party.

Default & Non-Performance

  • POF not furnished within 5 business days of ICPO: the FCO lapses automatically and is not reissued without a new LOI.
  • Payment instrument not confirmed operative within 3 business days of issuance (10 business days max from SPA execution): Defiant Trading may cancel the SPA without penalty and reallocate the cargo.
  • MT103 payment not received within 24/72 hours of loading completion: buyer is in default; Defiant Trading may hold cargo, impose demurrage, or reallocate at its sole discretion.
  • Any attempt to route verification, payment, or documents through an unapproved third party voids the transaction immediately.

Accepted Payment Instruments & Standards

SBLC MT760

Standby Letter of Credit via SWIFT MT760, issued or confirmed by a Top-50 prime world bank. Primary instrument for large-volume long-term contracts.

LC MT700

Irrevocable Documentary Letter of Credit. Standard for CIF shipment-based contract settlements.

MT103 Wire Transfer

SWIFT bank-to-bank wire transfer. Where MT103 is the settlement instrument, payment is due within 24/72 hours of loading completion — non-negotiable.

SGS / Intertek Inspection

All cargo is subject to independent third-party quality and weight inspection prior to bill of lading issuance.

Non-bank instruments, electronic-money platforms, cryptocurrency, and any form of “leveraged,” “blocked,” or “monetized” funds are refused outright, with no exception.
